By purchasing, accessing, participating in, and using our free or paid resources, programs, products, services, and program materials (all jointly and individually referred to as the “Content”) owned and operated by I Am Not Going Anywhere LLC, doing business as the Business Innovators Institute (“Company”, “we”, or “us”), you (“you” or “student”) agree and consent to the following Terms of Use (the “Terms”) that govern your access and use of the Content and BusinessInovatorsInstitute.com, businessinnovatorsinstitute.thinkific.com, and any other website or webpage operated by the Company (the “Websites”), and form a legal agreement between you and us. By using the Websites and accessing the Content you agree to comply with these Terms of Use (the “Terms”). If you disagree, in full or in part, with these Terms, please do not use the Websites or read, download, purchase, participate in, or access the Content. We reserve the right to change these Terms from time to time. Notice will be provided by updating the “Last Updated” date at the top of these Terms. 

1. Educational Content

The Content is developed exclusively for educational and informational purposes. The Content is not intended to constitute professional advice of any type, including but not limited to psychological, financial, managerial, investment, or legal advice. You understand and acknowledge that there is no fiduciary relationship established between you and us, or between you and the Content instructors, speakers, or contributors, even if they are professionals or experts in the subjects being discussed or explained. We make no representations or warranties, and we assume no responsibility for errors or omissions in our materials. You acknowledge that our materials do not constitute professional advice, and you should consult with appropriate professionals for your specific needs.

 You understand that we do not promise or guarantee any specific outcome. Any forward-looking statements on our Websites or Content are expressions of our opinion or that of our instructors, speakers, or contributors, and we make no guarantees that you will achieve similar results. We make no guarantees as to income or earnings. Any examples used are not to be interpreted as a promise or guarantee of earnings. Earning potential is entirely dependent on the person using the Content.

2. Use of Program Materials: Limited Non-Exclusive License

1. Upon payment of the applicable fees, we grant you a limited, non-exclusive, non-transferable license to access and use the Content for your personal, non-commercial use.  This license is subject to these Terms.
2. All our Content is intended solely for users who are eighteen (18) years of age or older. You represent and warrant that you are at least eighteen (18) years of age.
3. Depending on the Content purchased, you may watch, read, download and/or print program materials for your personal use or use in your personal business or organization.
4. You are not permitted to share, sell, reprint, or republish any Content for resale or mass reproduction purposes for your personal benefit, your personal business use, or that of any third party, even if provided free of charge to said party.
5. Any trademarks, taglines, and logos displayed on program materials belong to us or we have a license for their use. You acknowledge and agree that any use of these trademarks, including framing, meta tags, or other text utilizing them, is strictly prohibited without our express written consent.
6. You may not use any Content bearing trademark symbols (™) or ® without our express written permission.
7. All rights not expressly granted in these Terms, or any express written license are reserved by us.

3. Non-Disclosure of Content

You understand and acknowledge that our Content has been created, developed, or obtained by us through significant time, effort, and expense. This Content is considered a valuable and unique asset that must be protected from improper and unauthorized use.

By downloading, enrolling in, or purchasing our Content, you agree not to:

• Copy, share, alter, or modify our Content or any parts thereof.
• Use, copy, adapt, or represent any of our Content as if they are your own.
• Engage in improper and unauthorized use, including modifying, copying, reproducing, republishing, uploading, posting, transmitting, translating, selling, creating derivative works, exploiting, or distributing Content or any other information accessed or purchased through our Content without our prior written consent.
• Duplicate, share, trade, sell, or distribute our Content to any other person or organization for their personal use, business or commercial use, or in any way, even if it does not earn them money.
• Violate our intellectual property rights, including copyright and trademark rights.

Engaging in prohibited use or improper and unauthorized use of our Content may result in legal consequences, including legal costs and fees, as well as damages.

4. Confidentiality

We respect your privacy and insist that students respect the privacy of other students. Any confidential information shared is considered proprietary and belongs exclusively to the student who discloses it. You agree not to disclose, reveal, or make use of any confidential information or transactions.

5. Media Release

By participating in our programs, products, and services and using our Content, you consent to photographs, videos, and/or audio recordings that may contain you, your voice, and/or your likeness. We reserve the right to use these materials in our programs, products, services, marketing, or promotional efforts without compensation to you.

When you submit or post any contributions or comments to us, you grant us an unlimited, royalty-free, perpetual, irrevocable, non-exclusive, worldwide license to use, copy, modify, transmit, sell, exploit, create derivative works from, distribute, and publicly perform or display such contributions. You also grant us the right to identify you as the author of your contributions.

6. Payments, Refunds, Access, Suspension and Termination

a.  Online Access and Payment.   Your online access to all program materials is contingent upon maintaining good standing in all programs for which you have registered. Failure to pay an installment for any program may result in the suspension or termination of your account and access to programs.

If you fail to make payments in a timely manner as outlined in these Terms of Use or voluntarily decide to withdraw from our programs, products, or services for any reason, you remain responsible for the full program, product, or service cost.

b.  Cancellations.   If you choose an installment payment plan, you are obligated to complete all installment payments.

You are financially responsible for all purchases made by you or on your behalf. Our programs, products, services, and program materials are for legitimate, non-commercial purposes only and may not be used for speculative, false, fraudulent, or illegal purposes.

c.  Suspension or Termination. Failure to pay an installment payment or revoking the authorization for any payment made or due, related to any the Content may lead to the immediate suspension or termination of all access to the Content. Upon suspension or termination, you will lose access to your account and any associated services. To maintain access to your account and all corresponding services, your account and payments must remain current and in good standing for all registered programs and services.

If your account is suspended or terminated due to a failure to pay, no refunds will be issued.

In case of cancellation or termination by either party, you will have 24 hours to settle any remaining payments or balances owed to us.

All terms outlined in this Terms, including but not limited to copyright, trademark, and intellectual property rights, disclaimers, limitations of liability, release of claims, and our refund policy, will continue to apply even after termination by you or us.

d.  Refunds.  We value your satisfaction with our Content. However, due to the digital nature of our Content and the extensive time, effort, preparation, and care invested in creating and providing our Content, we have a no-refund policy. By using or purchasing any of our Content, you understand and accept that, unless otherwise required by law or specifically stated in the Content offer or a limited time offer related to specific Content, all sales are final, and no full or partial refunds will be granted. 

7. Limitation of Liability and Indemnity

The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Website or Content.  You agree to indemnify and hold the Company, its instructors, speakers, and contributors harmless from any claims, losses, damages, liabilities, and expenses arising out of your use of the Website and Content or violation of these Terms.

8. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles. Jurisdiction and venue will be Miami-Dade-County, Florida, without reference to its conflict of law provisions.
